These terms apply to the purchase and use of software and licenses offered on the website operated by TOIU.
Article 1. Purpose
These terms define the rights and obligations of TOIU (the “Company”) and users of its online store regarding software and license transactions, services, withdrawal from purchases and refunds. They also apply, as appropriate to the transaction, to access through mobile browsers and other means.
Article 2. Definitions and scope
- “Store” means the Company's online sales space at
https://www.toiucorp.com/. - “User” means anyone who visits the Store to view, purchase or use products. These terms also apply to purchases made without creating an account.
- “Product” means software, paid feature access and licenses sold by the Company, including IUVIEW and IUDEV. Product descriptions specify names, supported operating systems, features and prices.
- “License” means the right to use paid features within the specified software, operating system and scope. A “license key” is the identifier used to verify that right.
- “Activation” means first accessing paid features by authenticating a license key in the software. Generating, issuing, emailing or viewing a key alone is not activation.
- “Commencement of supply” means actually starting a download of purchased paid digital content or use of paid features. Downloading or using a free installer or trial does not commence supply of a paid product.
- “Withdrawal” means withdrawing a purchase decision and cancelling the contract under law or these terms. “Refund” means returning money already paid.

The Company displays its business information, these terms and the Privacy Policy on the Store's home page for easy access and promptly updates changed information.
Article 4. Disclosure, explanation and amendment
- Before concluding a contract, the Company enables users to review and save these terms and obtains their agreement. Important matters, including withdrawal restrictions, refund conditions and license scope, are explained separately and clearly before payment.
- The Company may amend these terms within applicable law, including Korea's Act on Consumer Protection in Electronic Commerce and Act on the Regulation of Terms and Conditions. The reasons, changes and effective date are announced at least 7 days in advance, or 30 days for changes disadvantageous to users. Important transactional changes are also individually emailed to affected users.
- Amended terms apply to contracts concluded after they take effect. Existing contracts remain subject to the terms in force when concluded; rights in purchased licenses and refund conditions will not be made less favorable without the user's express consent.
- Failure to read a notice or object does not constitute consent to an amendment.
- Matters not covered follow applicable law and the Korea Fair Trade Commission's standard electronic commerce terms. Provisions contrary to mandatory law or unfavorably restricting statutory consumer rights do not apply.
Article 5. Services and product information
- The Company provides product information, purchase and payment verification, license issuance, delivery and authentication, and customer assistance. Purchasing does not require an account.
- Product descriptions state paid features, supported operating systems and versions, system requirements, permitted device count, duration, and update and support coverage. A license for a specific operating system is for use on that system.
- Before purchase, a trial or other testing method lets users check core features and compatibility. Users can check suitability for their own environment as instructed.
- Changes to future products or prices are reflected in product descriptions. Changes to existing contracts are separately notified and, where users' rights are affected, handled under law and Article 4.
Article 6. Purchase applications and contract formation
- Users apply to purchase by checking the product, operating system, license scope, payment amount and currency, and withdrawal and refund conditions, entering an email address and choosing a payment method.
- Before payment, users can check and correct their entries and selections. The email address must receive messages because it is used for license delivery and transaction notices.
- A purchase contract forms when the Company confirms payment and its acceptance reaches the user on the payment result page or by email. The notice includes the product, payment amount and currency, order number, and how to check supply and cancellation.
- The Company may decline an application for objective reasons such as incorrect information, incomplete or fraudulent payment, or inability to supply. Money already received is refunded under applicable law with an explanation.
- Minors must obtain their legal representative's consent. Where such consent is legally required but absent, the minor or representative may cancel under applicable law.
- Users discovering an incorrect selection or entry after applying may request correction or cancellation through Article 3's contacts. Changes or cancellations after payment are handled under Articles 10–13.
Article 7. Prices and payment
- Users may pay using methods available at checkout, including credit/debit cards and simplified payments (Toss Payments), international cards (Eximbay), PayPal and Telegram Stars. Availability depends on country, currency and provider coverage.
- The actual currency and total amount, including taxes and mandatory charges imposed by the Company, are shown before payment. The Company does not add undisclosed charges.
- Foreign currency and Telegram Stars prices are denominated in those currencies or payment units. Exchange rates and international payment fees applied by the user's card issuer or provider are distinct from Company charges.
- Current products use one-time payments with no automatic subscription or renewal. Any future recurring product will disclose duration, renewal, payment and cancellation conditions beforehand and obtain necessary consent.
Article 8. License issuance and supply
- After confirming payment, the Company issues the license and emails it to the address provided. Unless another supply time is agreed, it takes steps necessary to supply prepaid products within 3 business days after receiving payment.
- Digital products are supplied electronically with no physical delivery or shipping charges. Users can check order and supply status on the payment result page and in the notification email.
- For missing emails, incorrect addresses, spam filtering or delivery failures, users may contact Article 3 with the order number and purchase email to request redelivery or correction. The Company verifies the transaction and responds.
- If supply becomes impossible, the Company promptly explains why. For prepaid orders, it refunds or takes necessary measures within 3 business days of receiving payment; if that period has passed, it acts without delay.
- Issuing or receiving a license differs from activating paid features. Issuance alone does not trigger Article 11's withdrawal restriction.
Article 9. Software and license use
- Purchasing grants the stated right to use the software, not ownership of its copyright. Use is permitted within the product description and these terms.
- Licenses apply to the specified software, operating system and tier. Keys must not be shared or used concurrently beyond the permitted device count. Authentication may register the first device identifier and compare later requests against it.
- For authentication problems after legitimate device replacement or operating system reinstallation, users may contact the Company with proof of purchase. The Company checks legitimate entitlement and explains use or transfer methods, without unreasonably restricting rightful use.
- “Permanent” or “unlimited” means no time limit on the agreed software usage right. New major versions, separate products, extra features and technical support follow conditions disclosed at purchase. Promised usage rights, updates and support are not reduced merely by amending these terms.
- Users must safeguard license keys and order verification information and report theft or misuse. The Company does not shift responsibility for leaks or errors attributable to it onto users.
- Unless permitted by law or the Company, users must not copy, distribute or resell software without authorization or bypass authentication. This does not limit legitimate use, analysis or other rights protected by law.
Article 10. Withdrawal period and requests
- Users may request withdrawal within 7 days of receiving a written or electronic contract document. If supply is later, the 7 days run from receipt or commencement of supply. Any legally required different starting date or longer period applies.
- Users who have neither downloaded purchased paid content nor activated the license may withdraw for a change of mind within paragraph 1's period and receive a full refund. This also applies if they only downloaded a free installer or trial, or merely received an issued key.
- Requests may be emailed to toiu@toiucorp.com with the order number and purchase email, or made by telephone or post using Article 3. Giving a reason for a change of mind is optional. Other transaction-identifying information is acceptable if the order number is missing.
- The Company acknowledges requests and reports outcomes, checking the buyer and usage only as necessary. It does not obstruct withdrawal through excessive evidence or unnecessary procedures.
- Written or electronic withdrawal takes effect when sent as provided by law. Delayed Company replies or internal checks do not make a timely request late.
- Even after paragraph 1's period, users retain Article 12 rights for defects or non-performance and other statutory rights.
Article 11. Withdrawal restrictions after digital supply begins
- Once paid supply actually starts through downloading purchased paid content or activating the license, change-of-mind withdrawal may be restricted under Article 17(2)(5) of Korea's Act on Consumer Protection in Electronic Commerce. Free installers or trials, payment completion, or key issuance or receipt alone do not trigger this restriction.
- To apply the restriction, the Company does the following:
- Clearly explains, in an easily visible place before payment, when supply begins and the withdrawal restrictions and refund conditions.
- Offers legally prescribed testing, such as some features, a limited period or a restricted trial. Only where such methods are impracticable does it use legally permitted digital content information instead.
- Presents the restriction separately from general terms agreement and obtains express acknowledgment and consent, without preselection or bundling with newsletter consent.
- Keeps records verifying disclosures, the user's acknowledgment and consent, and actual commencement of paid supply.
- If statutory requirements such as disclosure and trial provision are unmet, or promised separate consent was not obtained, download or activation alone does not justify refusal. Selecting a consent item does not waive all refund rights.
- For products divisible into independent content or rights, withdrawal is allowed for parts not yet supplied.
- If commencement, its occurrence, contract formation, supply or timing is disputed, the Company proves the relevant facts. Missing evidence does not unfairly shift the burden onto users.
- This article does not restrict Article 12 or statutory termination, cancellation or compensation rights.
Article 12. Defects, misdescription and non-performance
- If a paid product is supplied differently from its displayed description, advertising or the purchase contract, users may withdraw under law within 3 months of supply and within 30 days of discovering, or reasonably being able to discover, the difference. This applies after activation or the ordinary 7-day period too.
- If a product fails in the advertised supported environment or promised paid features are unavailable, users may report the error and environment to request a remedy. The Company investigates and handles measures and legitimate refunds under law and the contract.
- The Company does not deny legally valid withdrawal by insisting on a corrected version or exchange alone.
- Contract breach, impossible supply and other grounds for termination or compensation follow applicable law. These refund provisions do not replace or diminish other statutory consumer rights.
Article 13. Effects of withdrawal and refunds
- Digital content refunds following withdrawal are processed within 3 business days of withdrawal. Internal approval or error verification does not restart the clock or delay the statutory deadline. Refunds for impossible supply follow Article 8(4).
- The Company promptly asks the payment provider to stop collection or cancel card and similar payments. Users receive information on processing and results.
- Refunds normally use the original payment method and currency or unit. If impossible, the Company agrees a lawful alternative with the user without improperly delaying statutory duties through consultation.
- Fully refundable transactions receive all money paid to the Company. Lawful withdrawal incurs no penalty, damages or arbitrary refund processing fee or deduction. Any legally permitted partial refund is explained with its basis and calculation.
- Delayed refunds incur statutory delay compensation. A provider's delayed display of the refund does not automatically remove the Company's legal responsibility.
- When withdrawal cancels the contract, the paid license right ends. The Company stops paid authentication, and users must stop using cancelled keys for paid features. Features with separate rights, such as a free edition, remain unaffected.
- Digital content requires no physical return or return shipping. Refunds do not require unrelated data deletion, visits or excessive documentation.
Article 14. Company obligations and interruptions
- The Company stably supplies contracted products and safeguards transaction, authentication and personal information. It does not use misleading advertising or deceptive sales methods or obstruct cancellation or refunds.
- For maintenance, failures or communication interruptions, reasons and expected duration are announced in advance where possible. Unexpected outages are explained once identified and necessary recovery steps are taken.
- Damage from contracted supply or authentication failures caused intentionally or negligently by the Company is compensated under law and the contract. Responsibility and force majeure are assessed on the individual circumstances.
- If business closure or other reasons prevent continued services, users are notified of measures under law and the contract, including preserving existing rights and refunding unsupplied portions. An unlimited license does not permit unilateral cancellation of promised usage rights.
Article 15. User obligations and restrictions
- Users must provide accurate purchase and inquiry information and must not misuse others' email, payment methods, licenses or order verification information.
- Fraudulent payments, authentication bypass, excessive key sharing, attacks, infringement of Company or third-party rights, and other unlawful or contractual violations are prohibited.
- Confirmed violations may result in necessary restrictions with an explanation of reasons, scope and duration. Urgent security measures may be taken first, followed promptly by reasons and objection procedures.
- Restrictions must be proportionate. Users may explain, object or request legitimate authentication restoration. Restrictions do not extinguish statutory withdrawal and refund obligations.
Article 16. Privacy and transaction records
- The Company processes personal information as necessary to verify orders and payments, issue and authenticate licenses, and handle inquiries. Items, purposes, retention, outsourcing and rights procedures follow the separately published Privacy Policy.
- Legally required consent is obtained after explaining the relevant processing. Privacy and terms consent are distinguished as required by law; optional advertising consent is not a purchase condition.
- Selected payment providers handle sensitive payment authentication information such as card numbers. The Company handles necessary transaction information only as needed. External processing and Company responsibility follow law and the Privacy Policy.
- Legally required transaction records are retained for the prescribed period, and users can check their own transaction and consent details. Records are handled under law and the Privacy Policy when retention ends or their purpose is fulfilled.
Article 17. Transaction notices and newsletters
- Necessary order, payment, license delivery and refund notices may be sent to the purchase email or another agreed contact. Material transaction matters receive individual notice rather than public notice alone.
- Newsletters and advertising are optional and separate from purchases, and sent only with necessary consent. Purchase emails are not automatically subscribed.
- Subscribers can unsubscribe using the email footer link or toiu@toiucorp.com. Unsubscribing does not cancel purchased licenses or essential transaction notices.
Article 18. Intellectual property and external services
- Rights to software, documents, images and other works belong to the Company or their rightful owners. Users may use them within purchase conditions and law.
- Open-source and third-party components may have separate licenses; applicable conditions are made available in software notices or similar means.
- External payment pages may have their own conditions. Those conditions or procedures do not exclude the Company's supply, withdrawal, refund or statutory consumer protection responsibilities for its products.
Article 19. Inquiries and disputes
- Purchase, license, withdrawal, refund and service inquiries or complaints may use Article 3's email, telephone or address. The Company investigates legitimate concerns and explains delays and expected schedules.
- Unresolved disputes may seek relief, mediation or judicial resolution through the Korea Consumer Agency (1372 in Korea, https://www.kca.go.kr), Electronic Commerce Mediation Committee (https://www.ecmc.or.kr) or other relevant bodies. Failure to mediate does not limit access to court.
- Korean law governs transactions, without excluding mandatory consumer rights applicable to overseas users.
- Jurisdiction follows applicable law, including the consumer's local court. Company-location courts are not unilaterally imposed as exclusive jurisdiction to restrict consumer rights.
Article 20. Application and supplementary provisions
- The Company displays the effective date and version in the Store so users can review these terms before application.
- These terms apply to contracts for which they are presented and agreed on or after the effective date.
- Invalidity of a provision does not invalidate the remainder, which applies consistently with its purpose. Individual agreements more favorable than statutory rights take precedence.
Article 21. Registration and account management
- You may register with email, a password and an email verification code, or create and access an account through Google authentication. Review these terms and the Privacy Policy shown before the registration or Google login button. Proceeding through that button records agreement to these terms. The Company registers membership information after verification.
- Use an email address and account you are entitled to control and keep passwords and codes safe. Using another person’s account or bypassing authentication is prohibited. Log out on shared devices and report account misuse through Article 3.
- Codes expire in 10 minutes. Security limits apply to resending codes, verification and login attempts. Google login depends on Google’s service availability. An existing account with the same email is not automatically linked using Google authentication alone; use the account’s registered login method.
- Members may request withdrawal and exercise privacy rights through Article 3, subject to identity verification. Withdrawal deletes the account and sessions; legally required records are handled under the Privacy Policy. Withdrawal alone does not extinguish valid purchased license rights or statutory refund rights.
- Registration and Google login are separate from newsletter or advertising consent. The Company may send verification emails necessary for account security and services. Purchases remain available without an account.
